Agreement to Terms

By accessing or using the Global Stitchers website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and others who access or use our services.

Description of Services

Global Stitchers operates as a B2B intermediary platform connecting U.S. bulk garment buyers with verified global manufacturers. Our services include supplier identification, verification support, sourcing coordination, quality control coordination, and logistics assistance. We act as a buying house facilitating connections and providing coordination services.

User Responsibilities

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of any account credentials
• Use our services only for lawful business purposes
• Not misrepresent your identity, business, or capabilities
• Comply with all applicable laws and regulations
• Respect the intellectual property rights of others
• Not engage in fraudulent or deceptive practices

Business Relationships

Role as Intermediary: Global Stitchers acts as an intermediary and buying house representative. We facilitate connections and provide coordination services but are not a party to transactions between buyers and manufacturers unless explicitly stated.

No Guarantees: While we conduct verification and due diligence, we do not guarantee the performance, quality, or reliability of any manufacturer or buyer. Users are responsible for their own due diligence and business decisions.

Direct Contracts: Purchase agreements, payment terms, and other contractual arrangements between buyers and manufacturers are between those parties. Users should ensure appropriate contracts are in place for their transactions.

Manufacturer Onboarding Fee

Manufacturers applying to join the Global Stitchers network are required to pay a one-time $204 application and processing fee. This fee covers:

• Identity and business verification
• Export capability and documentation screening
• Compliance and product category alignment assessment
• Capacity and MOQ validation
• Internal onboarding, review, and profile setup

Fee Clarifications: The $204 fee is non-refundable, is not a recurring subscription or commission, and does not guarantee order placement or network approval. Approval into the manufacturer network is merit-based and depends on verification outcomes and capability alignment.

Right of Approval: Global Stitchers reserves the right to approve, decline, or remove manufacturer applications at its sole discretion based on verification findings, compliance standards, and network quality requirements.

Intellectual Property

The content, features, and functionality of our website—including text, graphics, logos, and software—are owned by Global Stitchers or our licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Confidentiality

Users agree to maintain the confidentiality of any proprietary or confidential information shared through our services, including but not limited to pricing information, supplier details, and business strategies. This obligation continues even after termination of services.

Limitation of Liability

To the maximum extent permitted by law, Global Stitchers shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Actions or omissions of manufacturers, buyers, or other third parties
• Product quality, delivery delays, or manufacturing defects
• Any damages arising from transactions between users

Our total liability for any claims shall not exceed the fees paid by you to Global Stitchers in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Global Stitchers, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any rights of third parties.

Dispute Resolution

Any disputes arising from these terms or your use of our services shall first be addressed through good-faith negotiation. If resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable rules, unless otherwise required by law.

Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall remain in effect.

Modifications to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by updating the “Last updated” date and, where appropriate, providing additional notice. Your continued use of our services after changes constitutes acceptance of the modified terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the state in which Global Stitchers operates, without regard to conflict of law principles.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
